LLC Cancellation

Home > Services > LLC Cancellation

Cancelling a Limited Liability Company (LLC) in mainland Dubai is a detailed process that requires adherence to legal and regulatory protocols to ensure a smooth closure. The process begins with a board resolution approving the dissolution of the LLC, which must be documented and agreed upon by all shareholders. Once this decision is made, the company must settle all outstanding debts and financial obligations, including taxes and liabilities to creditors.

The next step involves obtaining clearances from various government departments, such as the Ministry of Human Resources and Emiratisation (MOHRE) and the General Directorate of Residency and Foreigners Affairs (GDRFA), to confirm there are no outstanding issues. Additionally, any work visas and permits issued under the LLC must be cancelled.

After resolving these obligations, the company can apply for license cancellation with the Department of Economic Development (DED). This requires submitting the necessary documentation, including the board resolution, original trade license, and clearances from relevant authorities. Upon approval, the DED will issue a cancellation certificate, formally confirming the LLC’s dissolution and allowing the company to legally conclude its operations. This comprehensive process ensures that all legal and financial matters are settled before the company’s closure
